Effective: August 11, 2026. By creating an account, accepting an order, or using TELITRON, you agree to these Terms. If you act for a business, you confirm that you can bind that business.
1. TELITRON service
TELITRON provides configurable business communication software that may include AI-assisted phone answering, information collection, call routing, messages, summaries, appointment workflows, notifications, integrations, and dashboard tools. Features depend on the customer’s plan, configuration, connected providers, and technical availability.
2. Accounts and eligibility
You must be at least 18 and authorized to act for the customer business. Provide accurate information, keep login credentials confidential, and promptly update account details. You are responsible for activity under your workspace and for assigning appropriate access to staff.
3. Customer configuration and legal responsibilities
You are responsible for the business information, prompts, knowledge, policies, routing instructions, calendar rules, and other content supplied to TELITRON. You must review configurations before live use and keep them accurate.
You are also responsible for determining and meeting the laws that apply to your business and callers, including required notices or consent for call recording, transcription, automated systems, telemarketing, email, SMS, privacy, professional services, and cross-border data handling.
4. AI and automation limitations
AI output can be incomplete, delayed, misunderstood, or incorrect. TELITRON is not a substitute for professional, medical, legal, financial, emergency, or safety advice. You must use appropriate human review, escalation, testing, and fallback processes for important decisions.
TELITRON must not be represented as an emergency service. Do not rely on it for 911 or other emergency response. An appointment, payment, message, notification, or integration action is complete only when the applicable provider or TELITRON record confirms completion.
5. Acceptable use
You must not use TELITRON to break the law; deceive or impersonate people; harass, discriminate, or cause harm; send unlawful spam; collect information without authority; compromise security; access another workspace; upload malware; reverse engineer protected components except where law permits; or use the service for high-risk decisions without appropriate human oversight.
6. Phone numbers, email, calendars, and third-party services
Features can rely on third parties such as telephony, AI, email, calendar, hosting, database, and payment providers. Their services and terms may also apply. TELITRON is not responsible for outages, account restrictions, delivery filtering, carrier rules, or changes controlled by those providers.
You authorize TELITRON to use connected accounts only to provide the configured service. You may disconnect supported integrations, although related features will stop working. Workspace calendar actions must use the calendar authorized for that workspace.
7. Fees, billing, and taxes
Fees, included usage, overages, billing frequency, and cancellation terms are stated in the applicable order or plan. You authorize charges using the chosen payment method and are responsible for applicable taxes. Except where law or a written order requires otherwise, paid fees are not refundable for periods already provided.
8. Customer data and privacy
You retain ownership of customer content and business data. You grant TELITRON the limited rights needed to host, transmit, process, secure, and display that data to provide and support the service. Our handling of personal information is described in the Privacy Policy.
You confirm that you have the rights and permissions needed for data you provide. TELITRON may use aggregated or de-identified information that does not identify a person or customer to operate, secure, and improve the service.
9. TELITRON property
TELITRON and its licensors own the service, software, designs, documentation, trademarks, and related intellectual property, excluding customer data. These Terms give you a limited, non-exclusive, non-transferable right to use the service during the subscription for your internal business purposes.
10. Availability and changes
We work to provide a reliable service but do not guarantee uninterrupted or error-free operation. Maintenance, security events, carrier failures, AI-provider changes, internet conditions, and third-party outages can affect service. We may change or discontinue features, and will provide reasonable notice when a material change significantly reduces paid functionality where practical.
11. Suspension and termination
We may suspend access to address security risks, unlawful use, non-payment, harm to other users, or material breach. Either party may terminate as allowed by the order or plan. On termination, access ends and data is handled according to the agreement, customer instructions, our retention practices, and law. Provisions that should logically continue will survive termination.
12. Disclaimers
To the extent permitted by law, the service is provided “as is” and “as available.” TELITRON disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing. Nothing in these Terms excludes a warranty or right that law does not allow us to exclude.
13. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data. TELITRON’s total liability arising from the service will not exceed the fees paid or payable for the service during the 12 months before the event giving rise to the claim. These limits do not apply where applicable law prohibits them.
14. Indemnity
You will defend and indemnify TELITRON from third-party claims arising from customer content, unlawful or unauthorized use, failure to provide required notices or consent, or breach of these Terms, except to the extent caused by TELITRON’s own breach or misconduct.
15. Governing law
These Terms are governed by the laws of Manitoba and the federal laws of Canada that apply there, without regard to conflict-of-law rules. Courts located in Manitoba will have exclusive jurisdiction, except where consumer or other mandatory law requires otherwise.
16. Changes and general terms
We may update these Terms. We will post the updated date and provide additional notice for material changes. Continued use after the effective date means acceptance where permitted by law. If a provision is unenforceable, the remainder continues. Delay in enforcement is not a waiver. You may not assign these Terms without consent; TELITRON may assign them as part of a reorganization, financing, or sale of the business.
